BYLAWS
OF THE
STANISLAUS EMERITUS AND RETIRED FACULTY ASSOCIATION
ARTICLE I: NAME AND AFFILIATION
The name of this organization shall be “The Stanislaus Emeritus and
Retired Faculty Association” – “Stanislaus ERFA.” It shall be
affiliated with the California State University Emeritus and Retired
Faculty Association – CSU-ERFA.
ARTICLE II: PURPOSES
Section 1. To secure and enhance the status, rights, privileges and
welfare of emeritus and retired faculty and administrators of
California State University, Stanislaus.
Section 2. To offer support for the University and its faculty and
staff.
Section 3. To help full- and part-time faculty and administrators
prepare for retirement and to help new retirees adjust to their new
status.
Section 4. To implement communication between the University and
retired faculty and administrators.
Section 5. To contribute to the University's mission by such means as
may be determined by the Association.
ARTICLE III: MEMBERSHIP
Section 1. All tenure-track and non-tenure-track faculty members,
librarians, academic administrators, professional counselors and other
academically closely-related campus professionals, who have retired
from CSU Stanislaus, as well as faculty in the Faculty Early Retirement
Program (FERP), are eligible to join the Association.
Section 2. Survivors (widows and widowers) of deceased members
shall be eligible for associate membership status.
ARTICLE IV: OFFICERS
Section 1. Officers of the Association shall be a President, Vice
President, Secretary, Treasurer, and Immediate Past President.
Section 2. The officers plus the Association’s representative on
the CSU-ERFA State Council shall constitute the Executive Committee.
Section 3. The term of office shall be one year, beginning
on July 1.
Section 4. Elections of officers shall be held at the spring
meeting of the Association.
Section 5. Duties of Officers:
President: Shall preside at all meetings of the Association,
including the Executive Committee; supervise affairs of the
Association; and serve as ex officio member of all committees.
Vice President: Shall assume the duties and responsibilities of
the President in the absence of the latter; plan all regional meetings;
and perform such other duties as assigned by the President.
Secretary: Shall keep and distribute the official record of the
Association’s meetings and preserve all historical and other
Association records.
Treasurer: Shall serve as custodian of the Association’s funds,
develop and propose an annual budget; and periodically submit a
statement of financial standing.
Immediate Past President: Shall advise current officers and
perform such other duties as assigned by the President.
ARTICLE V: MEETINGS
Section 1. General membership meetings shall be held three times
a year. The dates and locations shall be determined by the
Executive Committee and announced to the membership at least four weeks
in advance.
Section 2. The Executive Committee may call additional meetings
if deemed necessary.
Section 3. A quorum shall consist of ten dues-paying members.
Section 4. The Executive Committee shall prepare the agenda for
each meeting and send it to the membership along with the meeting
announcement.
ARTICLE VI: COMMITTEES
The Executive Committee shall appoint ad-hoc committees as deemed
desirable.
ARTICLE VII: PARLIAMENTARY AUTHORITY
Roberts’ Rules of Order, Revised, shall be the parliamentary authority
for the Association.
ARTICLE VIII: AMENDMENTS TO THE BYLAWS.
Section 1. Proposed amendments shall be presented to the
membership in conjunction with the announcement of the next scheduled
meeting and shall be voted on at that meeting.
Section 2. Passage of mendments shall require a vote of 60
(sixty) percent of members present, provided there is a quorum.
